Bid Preparation Assistance Agreement

This Agreement is between JOINT VENTURE COLLECTIVE LLC, operating TitanTechOS, and the purchasing customer. By purchasing Bid Preparation Assistance, you agree to it. TitanTechOS provides assistance and preparation services only — it does not act as the customer, does not become a bidder, and does not guarantee any outcome.

1. Scope of Services

Services may include opportunity review, requirements extraction, compliance review, opportunity research, missing-document identification, opportunity dossier creation, submission roadmap creation, checklist generation, bid workspace preparation, and document organization. Services may vary by package. TitanTechOS may modify workflows and deliverables as necessary to fulfill services.

2. Customer Responsibilities

The customer remains solely responsible for business registrations, SAM.gov registration, certifications, licenses, insurance, submission decisions, submission accuracy, meeting deadlines, final document review, and regulatory compliance. The customer agrees to provide accurate and complete information; failure to do so may delay or prevent completion.

3. No Submission Authority

Unless explicitly agreed in writing, TitanTechOS does not submit bids, grant applications, or proposals; does not sign documents; does not represent the customer before any agency; and does not act as an authorized representative. The customer remains solely responsible for all final submissions.

4. No Government Affiliation

TitanTechOS is not affiliated with SAM.gov, Grants.gov, the SBA, the GSA, or any federal, state, or local agency. It is a private business-services provider. See Legal Disclosures.

5. No Guarantee of Results

The customer acknowledges that TitanTechOS does not guarantee contract awards, grant awards, funding approval, bid acceptance, proposal acceptance, revenue generation, or business success. Government agencies and funding organizations retain sole discretion regarding awards and selections.

6. Payment Terms

Initial deposit: $750. Final payment: $1,750. Total service price: $2,500. Alternative pricing may apply where specifically agreed. TitanTechOS may require payment before delivery of final materials; failure to pay may result in suspension of services.

7. Work Commencement

Work begins once payment requirements are satisfied, necessary customer information is received, and required documents are provided. Estimated timelines vary with project complexity and customer responsiveness.

8. Deliverables

Deliverables may include opportunity dossiers, research summaries, compliance checklists, submission roadmaps, document organization packages, and bid preparation workspaces. Deliverables are provided electronically unless otherwise agreed.

9. Customer Delays

TitanTechOS is not responsible for delays caused by missing information or documents, customer inactivity, government agency changes, or third-party service delays. Timelines may be adjusted accordingly.

10. Intellectual Property

TitanTechOS retains ownership of its internal workflows, proprietary methodologies, platform software, matching systems, readiness systems, and opportunity intelligence systems. Upon full payment, the customer receives a license to use delivered materials for their business purposes.

11. Confidentiality

TitanTechOS will make commercially reasonable efforts to protect confidential customer information. The customer agrees not to disclose proprietary TitanTechOS methodologies, internal systems, or protected materials without authorization.

12. Limitation of Liability

To the maximum extent permitted by law, TitanTechOS and JOINT VENTURE COLLECTIVE LLC shall not be liable for lost profits, lost contracts, lost grants, lost business opportunities, indirect damages, consequential damages, or reliance on recommendations. Liability shall not exceed the amount paid by the customer for the applicable service.

13. Refunds & Termination

Refunds are governed by the Refund Policy. Research, analysis, labor, and deliverable preparation constitute work product that may become non-refundable once work begins. TitanTechOS may terminate services for fraud, non-payment, false information, abusive conduct, or impracticality; completed work remains billable.

14. Governing Law & Entire Agreement

Governed by the laws of the State of Texas; disputes resolved in the appropriate Texas courts. This Agreement, together with the Terms of Service, Privacy Policy, and Refund Policy, constitutes the entire agreement regarding Bid Preparation Assistance.
